reverse only

I have a boat with two 200hp outboard motors. on one the warning siren stays on and one side of the motor gets hot while the other stays cool (i did not run it very long). I think that it might be the thermostat.
on the other (starboard side) from reverse to forward or vise versa the gears seem to grind and now wont go foreward. Do I replace the lower unit or pay someone to work on it? I am assuming that the gears are stripped out.

Just guessing here but I figure the engines are early 90's. One has a stuck open thermostat robbing water from the head that is hot. The other has a rusted shift shaft that has twisted and won't shift into forward.
Lets see how close I was?

The shift shaft located on the upper unit? seems to be operating properly
